These Terms of Service ("Terms") govern your access to and use of the On Frontier platform, websites, and related services (collectively, the "Platform"). On Frontier, a DBA of Boolean AI, Inc. ("On Frontier," "we," "us," or "our"), is operated by Boolean AI, Inc., a Delaware corporation. Please read these Terms carefully. They include important provisions about your relationship with On Frontier, screening and verification requirements, payment, ownership of your work, and a binding arbitration clause and class-action waiver in Section 18.
This is a plain-English contract, but it is still a contract. It is not legal advice, and you may wish to consult your own advisor before agreeing.
1. Acceptance of Terms
By creating an account, applying to On Frontier, accessing the Platform, or accepting work through On Frontier, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Platform.
You may also be asked to accept a separate Contractor Agreement and one or more project-specific Statements of Work ("SOWs"). Those documents govern the specifics of any work you perform. In the event of a conflict between these Terms and a Contractor Agreement or SOW with respect to a particular project, the Contractor Agreement and SOW control for that project, except where they expressly defer to these Terms.
We may update these Terms from time to time as described in Section 19. Your continued use of the Platform after an update takes effect means you accept the revised Terms.
2. What On Frontier Is
On Frontier operates a contractor marketplace that connects independent professionals with paid, remote projects offered by frontier artificial-intelligence laboratories and similar organizations. The work typically involves activities such as model evaluations, expert reasoning, structured problem-solving, annotation, and the production of high-quality data that helps improve advanced AI systems.
For clarity, throughout these Terms:
- "Contractor" (also "you") means an independent contractor — for example an engineer, researcher, or domain expert — who applies to or performs work through the Platform.
- "Client" means an AI laboratory or other organization that engages contractors for projects through On Frontier.
- "Project" means a discrete body of work made available through the Platform, the terms of which are set out in an SOW.
- "SOW" (Statement of Work) means the project-specific terms — including scope, deliverables, rates, and timing — that attach to and are governed by your Contractor Agreement.
- "Platform" means the On Frontier websites, applications, dashboards, and related tools through which contractors apply, are screened and matched, perform and submit work, and receive payment.
On Frontier acts as an intermediary that screens, matches, and facilitates payment. On Frontier is not the buyer of the underlying work in an employment sense, and a Client's project requirements are theirs, not ours. We do not guarantee that any particular Project, volume of work, or level of earnings will be available to you.
3. Eligibility / Who Can Apply
To apply to or use On Frontier, you must:
- be at least 18 years old;
- be legally able to enter into a binding contract and to perform independent contractor work in your country of residence;
- have the legal right and any necessary visas, permits, or work authorization to perform remote work from your stated location; and
- provide accurate, current, and complete information about yourself, your qualifications, and your eligibility.
On Frontier is intended for independent professionals. Acceptance into the marketplace is at our discretion, and we may decline, suspend, or remove any applicant or Contractor who does not meet our eligibility, screening, or quality requirements, or where required to meet our obligations to a Client.
4. Accounts & Security
You may hold only one On Frontier account. You agree to:
- provide accurate and complete registration and profile information and keep it up to date;
- keep your login credentials confidential and not share your account with anyone;
- be responsible for all activity that occurs under your account; and
- notify us promptly at legal@onfrontier.ai if you suspect any unauthorized access or use.
Creating multiple accounts, impersonating another person, or registering on behalf of someone else is prohibited and may result in removal from the Platform and forfeiture of pending payments to the extent permitted by law.
5. Independent Contractor Relationship
You and On Frontier are independent parties. Nothing in these Terms creates an employment, agency, partnership, joint-venture, or franchise relationship.
- You are not an employee of On Frontier or of any Client. You are not eligible for, and you expressly decline, any employee benefits from On Frontier or any Client.
- You control the manner and means by which you perform work, subject to the reasonable scope, quality standards, and instructions set out in each SOW.
- You are solely responsible for your own taxes, including income, self-employment, and any other taxes arising from amounts paid to you, and for completing required tax documentation (such as IRS Form W-9 or a W-8 series form) through our payment provider.
- Project-specific terms come separately. The detailed terms of any engagement — including deliverables, rates, deadlines, confidentiality, and intellectual-property assignment — are set out in your Contractor Agreement and the applicable SOWs, not in these Terms. These Terms govern your general use of the Platform.
You are free to accept or decline any Project, and you may work for others, provided you comply with your confidentiality and non-circumvention obligations and avoid conflicts of interest.
6. Screening, Identity Verification & Work Authorization
Because our Clients are frontier AI laboratories with significant security, compliance, and integrity requirements, screening is a condition of matching. By using the Platform, you consent to the following, conducted by On Frontier and our third-party vendors:
- Identity verification, including submission and verification of a government-issued identity document, through a third-party identity verifier (for example, Veriff or Persona);
- Background checks appropriate to the engagement, conducted through a third-party screening vendor (for example, Certn), where permitted by applicable law;
- Sanctions, export-control, and watchlist screening against applicable government lists; and
- Location and work-authorization checks to confirm you are legally able to perform remote work from your stated country of residence and within a Client's supported regions.
You agree to provide accurate information for these checks, to cooperate with reasonable requests, and to promptly notify us if your residence, work authorization, or eligibility changes. We may share screening and eligibility results with the applicable Client and with regulators where reasonably necessary to meet our and the Client's compliance obligations. Failing, refusing, or providing false information in connection with screening may result in suspension or removal.
7. Projects, Matching & Acceptance
On Frontier may, from time to time, make Projects available to you based on your profile, verified qualifications, and eligibility. We do not guarantee that any Project will be offered to you, that any minimum volume of work will be available, or that you will earn any particular amount.
When you are matched to a Project, the binding terms of that engagement are governed by your Contractor Agreement and the applicable SOW, which will describe the scope, deliverables, quality standards, rate, and timing. You should review and accept the SOW before beginning work. Acceptance of a Project does not entitle you to future Projects.
On Frontier and Clients may modify, pause, or cancel Projects, and may reassign or reject work that does not meet stated quality standards, in accordance with the applicable SOW.
8. Payment
For work you complete that is accepted following review, On Frontier will pay you at the rate stated for the applicable Project or SOW. Unless an SOW says otherwise:
- payment is earned for work that is completed and passes quality review;
- rates and payment schedules are stated per Project and may vary by engagement;
- disbursements are made through a third-party payment and compliance provider (for example, Deel), which acts as our limited payment agent and may have its own terms; and
- you are responsible for providing accurate payment and tax information and for completing required tax forms (such as W-9 or W-8). On Frontier does not provide tax advice.
You will not be reimbursed for expenses unless pre-approved in writing in an SOW. On Frontier may withhold or adjust payment for work that is not completed, fails review, is fraudulent, or violates these Terms, to the extent permitted by law.
9. Acceptable Use
When using the Platform and performing work, you agree that you will not:
- engage in fraud or misrepresent your identity, location, qualifications, or eligibility;
- submit work that is not your own, plagiarized, or copied from another person or source without authorization;
- create or operate more than one account, or use another person's account ("multi-accounting");
- use unauthorized automation, bots, or AI models or tools to complete or assist with work, unless a specific Project or SOW expressly permits it and on the terms it sets;
- input Client materials, project data, or other confidential information into any unauthorized third-party tool or service;
- scrape, crawl, harvest, or reverse-engineer the Platform, or attempt to access areas or data you are not authorized to access;
- interfere with, disrupt, or compromise the security or integrity of the Platform; or
- violate any applicable law or any Client policy made known to you.
Violations may result in rejected work, withheld payment, suspension, or permanent removal, and may be reported to Clients or authorities where appropriate.
10. Confidentiality
Client project materials, instructions, data, prompts, evaluation criteria, and the existence and details of Projects are confidential. You agree to keep all such information strictly confidential, use it solely to perform the relevant work, and not disclose or retain it except as permitted by your Contractor Agreement. You must not bring any third party's confidential information into a Project. These obligations continue after a Project ends and are described in more detail in your Contractor Agreement.
11. Intellectual Property / Ownership of Work Product
Your work product. Except as an SOW provides otherwise, all deliverables, data, annotations, evaluations, code, content, and other materials you create in connection with a Project, and all intellectual-property rights in them, are assigned to On Frontier and its designees, which may include the applicable Client. The specific assignment terms are set out in your Contractor Agreement. You agree to assist, at our expense, in perfecting and enforcing those rights.
The Platform. On Frontier owns and retains all rights in the Platform and all related software, designs, trademarks, and content. These Terms do not grant you any license to On Frontier's intellectual property except the limited right to use the Platform to apply for and perform work.
Feedback. If you give us suggestions or feedback about the Platform, you grant On Frontier a perpetual, worldwide, royalty-free, irrevocable license to use it without obligation or compensation.
12. Contractor Representations & Warranties
You represent and warrant that:
- you have the right, skill, and experience to perform the work you accept;
- all information you provide (including identity, qualifications, location, and eligibility) is accurate and not misleading;
- your work and deliverables will comply with applicable law and will not infringe or misappropriate any third party's rights;
- you are under no conflicting obligation that would prevent you from performing; and
- you will not incorporate third-party materials into deliverables without our prior written approval.
13. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ON FRONTIER DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
ON FRONTIER MAKES NO GUARANTEE THAT ANY PROJECT, AMOUNT OF WORK, OR LEVEL OF EARNINGS WILL BE AVAILABLE TO YOU, OR THAT ANY PARTICULAR CLIENT WILL ENGAGE YOU. YOUR USE OF THE PLATFORM IS AT YOUR OWN RISK.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ON FRONTIER AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, EARNINGS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
ON FRONTIER'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID TO YOU THROUGH THE PLATFORM IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
15. Indemnification
You agree to indemnify, defend, and hold harmless On Frontier, its affiliates, and its Clients from and against any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of or relating to: (a) your breach of these Terms, your Contractor Agreement, or any SOW; (b) your fraud, gross negligence, or willful misconduct; (c) any claim that your work or deliverables infringe or misappropriate a third party's rights; or (d) your failure to maintain proper work authorization or to pay your own taxes.
16. Export Controls & Sanctions
You may not access or use the Platform, or perform work, from any country subject to comprehensive U.S. or other applicable sanctions or embargoes, and you may not be a person or entity on any applicable restricted-party, denied-person, or sanctions list. You represent that you are not so restricted and that your use of the Platform complies with all applicable export-control and sanctions laws. We may suspend or terminate access to comply with these laws.
17. Term & Termination
These Terms apply for as long as you use the Platform. Either party may stop the relationship at any time: you may close your account, and On Frontier may suspend or terminate your account or access, with or without cause, including immediately where necessary to comply with law or our obligations to a Client, or where you fail a screening, compliance, or quality requirement.
On termination, your right to access the Platform ends. You will be paid any accrued, undisputed amounts for accepted work. Provisions that by their nature should survive — including Sections 5, 8, 10, 11, 12, 13, 14, 15, 16, and 18 — survive termination.
18. Governing Law; Arbitration; Class-Action Waiver
These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules.
Binding individual arbitration. Except for claims that may be brought in small-claims court, any dispute arising out of or relating to these Terms or the Platform will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted in the English language, and judgment on the award may be entered in any court of competent jurisdiction. Either party may seek injunctive relief in court to protect intellectual property or confidential information.
Class-action waiver. You and On Frontier agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims.
Opt-out. If you do not wish to be bound by this arbitration agreement, you may opt out by sending written notice to legal@onfrontier.ai within 30 days of first accepting these Terms.
19. Changes to the Terms
We may modify these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice through the Platform or by email. Changes take effect when posted unless stated otherwise. Your continued use of the Platform after changes take effect means you accept them. If you do not agree, you must stop using the Platform.
